나는 매수해서 매도도 1분 안에 할 수 있는데 

그럼 그 돈은 기업에 투자한다고 했던 건데 

회사에 들어갔다 나오는 돈인가???

궁금하시는 않으신가요?

오늘 그 궁금증 해결해드리겠습니다.

자! 우선 기업이 상장을 한다는 의미부터 되새겨 보겠습니다.

기업이 상장을 한다는 건 돈을 투자 받고 싶다는 의미라고 보시면 됩니다.

기업의 성장을 위해서 상장을 하는 것이죠!!

예를 들어 보겠습니다.

자 상장을 하면 주식수가 정해집니다. 그 중 이 회사를 평가하는 기관에서

이 회사의 가치를 반영한 가격을 정합니다!! 이를 공모가라고해요!!

처음 주식이 상장될 때의 가격인거죠!!

공모가 500원의 가치와 100,000주를 발행 할 수 있다고 평가를 받은 회사는 상장시  

500원X100,000주= 50,000,000원 의 금액을 회사 운영하는 자금으로 받게 됩니다.

그 공모가에 해당하는 주식들은 일반 주주 혹은 기관 혹은 외국인들이 

공모에 참여해서 돈을 투자하고 주식으로 받는 겁니다!

그러면 그 금액으로 기업의 자본금이 늘어나 회사를 운영하는데 사용하게 됩니다.

 

 

예) 주식 종목 : 셀리드 '19년도 상장!!

 

 

상장 이후 자본금이 줄고 있죠?! 여기서! 주식을 사고 판다고 해서 회사의 자금이 올라가진 않아요!!!

 

그럼 상장하고 처음만 자본금이 쌓이고 끝이네요!!??

 

아니요!! 그 건 아래에서 설명 하겠습니다.

 


그 이후 상장 일자에 상장하게 되면 매수, 매도가 일어납니다.

이 회사를 보고 투자하는 사람들이 생기는 거죠!!

이 때!!!! 우리가 증권사 HTS, MTS로 매수하죠!?

이게 회사를 보고 투자를 한다고 하죠!?

그럼 이 돈이 회사에 고스란히 자본금으로 들어가는게 아니라!!

시가총액이라고!! 회사에 투자한 금액으로 보여집니다!!

우리가 많이 매수(사는 행위)를 하면 시가총액이 높아져요!!

이게 많이 매수할 때 회사 성장성, 영업 이익, 가치가 올라가면 기대감으로
시가총액은 더 높아질 수 있어요!!

그래서 매출액이 어마어마하지도 않은

 

씨젠, 신풍제약이란 작은 기업도 기대감으로!! 시가총액이 대기업들 마냥

 

엄청 높아졌던 거죠!!

 

 

 

 

 

 

 


그리고 회사가 자본금이 부족할 때 상장을 한 상태이기 때문에

증자를 해요!!

증자에는 여러 종류가 있습니다.

무상증자, 유상증자

유상 증자는 기존 우리 회사 주식을 가지고 있는 사람들에게 새로운 주식 수를

발행하면서 주주들에게 돈을 받고 추가로 주식을 배분하는 행위를 말해요!!

이익금이나 회사 경영상에 이득이 많아 무상으로 주주들에게 주식을 배분하는 행위는

무상 증자라고 합니다.

결국 유산증자는 회사가 주식을 추가 발행해서 자금을 조달하는 행위!!

이게 호재일수도 악재일 수도 있어요!!

 

 

 

 

 

 

 

 


경영난인 상태에서 유상증자를 하면 회사 망하는 것을 막는게 목적이니

주주들에겐 악재일 수 있겠죠!? 그러나 회사 가치가 충분히 있다고 판단되면

또 그 유상증자를 통해 극복하면 더 많은 매출을 달성한다고 하면 호재일 수도 

있습니다. 회사의 전망 중요합니다!! 

이러한 방법으로 상장 회사들은 자본금이 부족할 때 투자금을 주식 수를 발행하면서

확보할 수 있습니다.!!

감자!! 라는 내용도 있는데 이건 증자의 반대라고 생각하시면 됩니다.!!

If a company goes public, it means that it wants to get money invested.

It's listing for the growth of the company!

Let me give you an example.

The number of shares will be determined by listing. One of them is that the agency that evaluates this company

We set a price that reflects the value of this company!! It's called a contestant!

It's the price when the stock was listed for the first time!

A company that is assessed to be able to issue 100,000 shares with the value of KRW 500 in the public offering price shall be listed.

You will receive KRW 500 X 100,000 shares = KRW 50,000,000 in company-run funds.

Shares of the public offering price are owned by ordinary shareholders, institutions, or foreigners.

You participate in the contest, invest your money, and receive it as a stock!

The amount increases the company's capital and uses it to run the company.





e.g. Stock: ceiild in 2019!!

 

 



The capital has been decreasing since the listing, right? Buying and selling stocks doesn't raise the company's funds!!!



So after the listing, the capital accumulates for the first time and it's over!!??



No!! I'll explain it below.




After that, if it is listed on the listing date, it will be bought and sold.

There are people who invest by looking at this company!

At this point! We're buying through HTS and MTS, right?

It's called investing in the company, right?

Then this money doesn't go straight into the company.

It's the market capitalization! It's seen as an investment in the company!

If we buy a lot of money, the market capitalization goes up!

When you buy a lot of this, if the company's growth, operating profit, and value go up, you're looking forward to it.

The market capitalization could be higher!

That's why sales are not even huge.



See, even a small company called Sinpoong Pharmaceutical has a market capitalization of large corporations.

And since the company is listed when it lacks capital,

Let's make a capital increase!

There are many kinds of capital increase.

an anaerobic capital increase

The legacy capital increase will give new shares to those who own existing shares in our company.

It refers to the act of receiving money from shareholders and distributing additional shares while issuing it.

The distribution of shares to shareholders free of charge because of the high profits and management benefits of the company.

It's called Musanja.

Eventually, the legacy capital increase is the act of the company issuing additional shares and raising funds!!

This could be a good or bad thing!

 

 

 




The purpose of this is to prevent the company from going bankrupt if you make a capital increase while you're in financial difficulties.

It could be bad news for shareholders, right? But if you think it's worth the company,

And if you get over it with that legacy capital increase, it could be a boon if you get more sales.

Yes, the company's outlook is important!!

In this way, listed companies issue their investments in stock numbers when they lack capital.
